OPERATIONS INFORMATION
GENERAL TESTING

The technical staff at MicroStat Laboratories, Inc., performs all tests in accordance with the requested or relevant procedures established by the applicable and recognized Standards Organizations.

MicroStat Laboratories, Inc., adheres to documented internal procedures, which are written to comply with published validated methods, procedures and protocols.

Our lab will also follow client protocols for testing with adequate support documentation from our clients.

GOOD LABORATORY PRACTICES (GLP)

All test projects are completed using Good Laboratory Practices. These include the use of controlled internal and external written procedures. All of our company test projects utilize trained staff, calibrated equipment, proper data collection, archived storage, project tracking and controlled chain of custody for all samples tested.


CONFIDENTIALITY AGREEMENTS

All project information and test results are held in strictest confidence between MicroStat Laboratories, Inc., personnel and the contact(s) at the client company. A Confidentiality and Privacy Agreement between MicroStat Laboratories, Inc., and the client company is prepared, reviewed, signed and placed on permanent file by MicroStat Laboratories, Inc., and the client company prior to the completion of the first project.

Confidentiality agreements which are furnished by the client, will be reviewed and signed upon approval. MicroStat Laboratories, Inc., legal counsel will review all such documents furnished by the client for approval.

FEES FOR TESTING AND SERVICES

Prices for standard tests and services are listed in the MicroStat Laboratories, Inc., current fee schedules. Fee schedules are reviewed and updated annually at the beginning of each calendar year. Fees for large projects and fees for non-standard tests will be quoted on an individual project basis. All prices are listed in US dollars.

SAMPLE SUBMISSION

Samples are submitted directly to MicroStat Laboratories, Inc., either in person, by US Mail or by an appropriate delivery company (UPS, Fed-Ex, Airborne, DHL or Courier, etc.). Samples in transit to the laboratory are the responsibility of the sender. All samples must be accompanied by the client's written instructions for testing. Instructions should describe the samples and give details of the tests to be performed.

When the Laboratory Director at MicroStat Laboratories, Inc., has a clear understanding of the scope of the project and the tests to be performed, a written quotation will be issued to the client by fax or email from the lab director or the sales manager assigned to your account. The client signs the quotation, includes a valid Purchase Order number, and faxes or mails the signed quotation form back to MicroStat Laboratories, Inc., to authorize testing. A project number is assigned for tracking of samples, data collection and retention, test reports and billing.


TEST FACILITIES

In most cases, samples will be prepared and tested at the MicroStat Laboratories, Inc., facility in Mission Viejo, California. Some work may be sub-contracted to a qualified and approved outside laboratory when the specialized and required testing apparatus is not available in-house at MicroStat Laboratories, Inc.,. All Confidentiality Agreements remain in effect at all associated and approved outside test Laboratories and all samples processed outside are kept anonymous and confidential.

TEST REPORTS

At the completion of a project, the Laboratory Director issues a test report. This report fee is set at a minimum charge of US $25.00 and is billed as a separate line item to the testing fees. This fee also includes preparation of the report and includes printing, faxing, and standard US Postal mailing of the furnished report document. Clients will be invoiced on the first date the report is either faxed or mailed. Extensive and detailed reports are billed by the hourly rate of USD $100.00 per hour.

SAMPLE DISPOSITION

Test samples at MicroStat Laboratories, Inc., are standardly retained at the laboratory for 3 months after the completion of the project tests, then discarded. Samples will only be returned to the customer upon specific request, acknowledged prior to the 3 month retention period. Freight and handling costs for the return of samples to the client will be billed to the customer

REPORTING CONDITIONS, WARRANTIES AND LIABILITIES

MicroStat Laboratories, Inc., test reports apply only to samples tested. Unless otherwise stated, the sample description is based on information provided by the client. MicroStat Laboratories, Inc., makes no warranty, implied or otherwise, as to the source of the tested samples.

The test results reported by MicroStat Laboratories, Inc., are intended to provide the client with general test data and guidance information only.

Test reports and documents shall not be reproduced, except in full, and shall be rendered void if amended or altered.

MicroStat Laboratories, Inc., makes no warranty, either implied or otherwise, including but not limited to the implied merchantability of the items being tested. In no event shall MicroStat Laboratories, Inc, liability exceed the total amount paid by the client for services rendered.

BILLING AND TERMS

The client will receive an invoice on the date of completion of each project. The invoice date will be determined by the initial date the report or test results are faxed or mailed to the client.

All domestic customer's terms are standard at net 30 days from invoice date with credit approval, otherwise a 50% deposit must be made prior to the start of any work for customers that have not established or maintained basic credit requirements. The balance owed is then due upon completion of the work.

International customers are required to make payment by wire transfer upon completion of project and prior to release of test results. All payments not received within 30 days from invoice date will receive a monthly finance charge of 1.5%.

OTHER SERVICES

MicroStat Laboratories, Inc., offers auditing, training and consulting services in the areas of ISO 9000 certification, Quality System Regulations (formerly GMPs) and contamination control, and cleanroom certification services.

These services are quoted and billed on a project-by-project basis with billing rates set in the CONSULTATION SERVICES section of our fee schedule.

AUDITS, SURVEYS AND VISITATION

Current or prospective clients are welcome to visit MicroStat Laboratories, Inc.,. All visitors will be required to sign-off on our standard visitor Confidentiality Agreement document prior to access to the laboratory.

All requests to perform a Quality Survey or GLP Audit by our customers must be received in writing and scheduled as a specific appointment date that is acceptable to both the customer and MicroStat Laboratories, Inc.,.
